("IAMValley") offers you an account on the IAMValley.com web site ("IAMValley.com"). IAMValley.com is owned and operated by IAMValley.com, Inc. The site provides a forum for members to: (a) publish their work in digital format including (text, data, photos, graphics, music, sounds and videos), (b) exchange advice and knowledge with other members, (c) provide and receive emotional support for physical illness, (d) plan and execute travel arrangements, (e) respond to surveys whose results will be provided to various mainstream institutions, and (f) market services and products to other members. IAMValley may at anytime upon, its sole discretion: expand or discontinue existing services, or create new services.

As a member of IAMValley.com, you agree to provide complete and accurate information when prompted by this site. Any use of your personal information is governed by the terms of our Privacy Policy. You must register in order to use many of the features on this site.

Amendment and Addenda. IAMValley may amend this Agreement at any time. Such amendments will be effective when IAMValley posts the amended terms to you when you log in to the site.

Limitation of Content. At any time, without further notice, IAMValley may remove your content from IAMValley.com that is deemed inappropriate or in any way detrimental to IAMValleys business. This site may include bulletin boards, chat rooms and other user and author created pages that allow you and other users to post information and content, provide feedback, and interact in real time. IAMValley retains all rights to remove any material it deems unlawful, harmful, threatening, vulgar, profane, abusive, harassing, obscene, pornographic, defamatory, tortuous, a personal attack, or objectionable material of any kind. While IAMValley encourages religious and spiritual freedom, IAMValley retains the right, at its sole discretion, to remove content encouraging, endorsing or providing instructional information on hazardous, or in any way constitute intentional or not harmful beliefs, thoughts, and practices deemed by IAM Valley.

Because we do not pre-approve or edit content submitted for publication on this site, it is possible that inappropriate content could be published on this site for a short period of time. We will respond with appropriate action to any content that is published in violation of the IAMValley.coms Publishing Policy. Comments regarding abusive content may be sent to editor@iamvalley.com.

Authorization. IAMValley may assume that all activities made using your User Name and password are authorized by you. If you suspect that your password has been compromised, you should contact IAMValley at once.

Relationship. You are not (in any expressed or implied manner) an agent, employee, partner or joint venturer with IAMValley by using the site or enrolling in any of the Programs (including but not limited to IAM Guides, IAM Education, IAM Travel Exchange, and any of the "Member Groups and Organizations"). Neither you nor IAMValley has the authority to bind, commit or otherwise obligate the other in any manner. This includes compensatory payment of any kind.

IAM Guides and moderators ("Moderators") of any of the "Member Groups and Organizations" provide voluntary services using the IAMValley.com web site as a venue. At no time are IAM Guides or Moderators acting as agents or employees for IAMValley.

Members providing Content (including but not limited to articles, course offerings and instructional materials) through IAM Education are not agents of IAMValley. IAMValley does not endorse any educational system, methodology, beliefs

Vendors selling products or services through IAM Travel are not agents of IAMValley. IAMValley claims no responsibility for transactions made through IAM Travel. IAM Travel provides only a venue. Any travel arrangements you make is done directly with the travel agent or service provider (including but not limited to airlines, hotels and restaurants), and as such they are solely responsible for delivering any promised services or products. We are not responsible for the outcome (direct and indirect) of travel arrangements you make based on information posted by other members. Any information you provide through IAM Travel is subject to the Privacy Policy of the Vendor. IAMValley makes no warrantees regarding the security of such information. Content posted by members to IAM Travel is subject to the terms and conditions of the Publishing Policy.

Privacy. By accepting this Agreement, you expressly consent to IAMValleys disclosure and use of your personal information (including using email to communicate with you) as described in the Privacy Policy.

Termination. IAMValley may terminate your use of the site immediately if (a) you breach this Agreement, or (b) you repeatedly infringe upon the intellectual property rights of a third party. Alternatively, in such circumstances, IAMValley may take some lesser remedies, such as hiding the display of some or all of your Content or suspending your account. If you want to terminate your account, email editor@iamvalley.com. However, any Content already submitted to IAMValley may remain on the site and IAMValley retains all rights and license as stated in the Agreement.

No Warranty. THE IAMVALLEY.COM SITE AND SERVICES ARE PROVIDED "AS IS," AND IAMVALLEY AND ITS SUPPLIERS AND CO-BRAND PARTNERS EXPRESSLY DISCLAIM ALL WARRANTIES OR CONDITIONS OF ANY KIND (EXPRESS, IMPLIED OR STATUTORY), INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES, NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing, IAMValley does not promise or warrant to you that any aspect of the site and system will work properly or will be available continuously. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.

Liability Limits. IN NO EVENT SHALL IAMVALLEY OR ITS SUPPLIERS OR CO-BRAND PARTNERS BE LIABLE FOR ANY LOST PROFITS OR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THE IAMVALLEY.COM SITE, ITS SERVICES OR THIS AGREEMENT. FURTHER, OTHER THAN FOR THE PAYMENT OF VALIDLY ACCRUED CREDITS (IF APPLICABLE), IN NO EVENT SHALL IAMVALLEY OR ITS SUPLIERS OR CO-BRAND PARTNERS BE LIABLE TO YOU IN AN ANY AMOUNT. Some states do not allow the foregoing limitations of liability, so they may not apply to you.

Indemnification. By using this site, you agree to indemnify, defend and hold harmless IAMValley and its affiliates, agents, employees and licensors from any claim or demand made by any third party due to or arising out of anything you submit, post, transmit, upload or publish on this site.

Access Limits. Without IAMValleys express written consent, you may not frame the site, place pop-up windows over its pages, or otherwise affect the display of its pages.

Governing Law and Arbitration. This TOS and any disputes arising out of or relating to this TOS or the services provided by this site shall be governed by and construed in accordance with the laws of the State of New Jersey.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

The Entire Terms of Service. This TOS (and any addenda or statements expressly incorporated into this TOS that you enter into), the Publishing Policy, and the Privacy Policy constitute the entire agreement, and supersede the provisions of any other agreements or understandings (oral or written), between the parties with respect to the subject matter of such documents. In the event of any conflict between the terms of this TOS and an addendum, the provisions of the addendum shall control.

General. You shall comply with all laws and regulations applicable to your access and use of the site and your publication of your Content. If any portion of this Agreement is deemed unenforceable, that portion shall be enforced to the maximum extent possible and the remaining portions of the Agreement shall be given full effect. IAMValleys failure to act in a particular circumstance does not waive the ability to act with respect to that circumstance or similar circumstances. IAMValley shall be excused for any failure to perform to the extent that its performance is prevented by a reason outside of its control. No agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement. IAMValley may change remove, or require registration or payment to continue use of any aspect of the site and service at any time without further notice to you. IAMValleys suppliers and co-brand partners are third-party beneficiaries of this Agreement.

Trademarks. IAMValley, IAMValley.com, IAM Author, IAM Merchant, IAM Travel Exchange, IAM Guides, IAM Media Channel, IAM Education, IAM Healing, IAM Interested, IAM Community, and IAM Barter Exchange are all trademarks of IAMValley.com, Inc. As such, IAMValley.com, Inc. retains all rights to their use.

Other Disclosures. IAMValley is provided by IAMValley.com, Inc., 274 10th Street, Palisades Park, NJ 07650. The phone number is (201-592-1579). Any expenses (such as hardware, software and Internet access costs) or taxes you incur to access the site shall be your sole responsibility.

In connection with your use of this site, we will request certain information about you. We will use this information to improve and enhance our site and the services that we provide. We will not sell, rent, exchange or otherwise disclose any personalized information about you to an outside company without your prior consent. Voluntarily disclosed information in some of our Programs or services (such as IAM Interested and other surveys) will be shared with others. Because your privacy is important to us, we have provided the following statement about our Privacy Policy and information dissemination practices. This Policy supplements the IAMValley.com Terms of Service Agreement (the "TOS" or "Agreement"). Thus, this Policy is incorporated into and governed by all of the terms of the Agreement. In the event of any conflict between the terms of the TOS and this Policy, the terms of this Policy shall control.

This Policy applies only to information collected on the IAMValley.com web site. It does not speak about IAMValleys practices for information collected elsewhere or the practices of any third parties, including those who operate sites on IAMValleys behalf and that display IAMValleys branding.

Information we collect from you.

Your IP address. We use your IP address to administer our site and help diagnose problems with our server. Your IP address also is used to help identify you.

Cookies. A cookie is a small data file that certain sites write to your hard drive when you visit them. A cookie file can track information such as a user ID and the various pages that you have visited. We use secure cookies to personalize the information that is delivered to you and for internal aggregate reporting to enhance our site. We also may use ad agencies to place advertising, such as banner ads, on our site. Such advertising may contain cookies that collect information for the ad agency. We will not have access to this information nor will we be able to control the use of this information.

Registration forms. As part of the registration process you will be asked to provide your e-mail address and a password. You agree that all the personal information you provide to IAMValley is accurate and truthful.

IAM Interested and other Surveys. IAM Interested surveys you over the Internet, providing you with a way to voice your opinions. Our online surveys may ask visitors for certain demographic information and/or to list subjects that are of interest to you. As a member, you are not required to participate in any of the surveys. One of IAM Interesteds main goals is to encourage mainstream institutions to implement research based on our data collected voluntarily from our members. IAMValley will approach, for instance, hospitals and insurance carriers with concrete data and information of people who are interested in alternative healing as a legitimate way of treating disease.

We also use this information to tailor your experience at our site by showing you content that we feel may be of interest to you and may meet your personal preferences. We may, for instance, provide you with a list of the highest rated articles in a subject of your interest.

Content Rating System. An important feature of our site is our content rating system, which allows visitors to give a rating to articles published on our site. As part of the rating process, we will ask readers to provide ratings on articles that they read. The ratings that you give to articles are private and will not be revealed to anyone. We will aggregate ratings given to each article for the purpose of identifying those articles that are most popular with our readers.

Why do we collect this information?
The information that we collect allows us to enhance and improve our site and the services offered by our site. Specific uses of collected information include:

Aggregated Information. All of the information that we collect is aggregated, which means that information is grouped together in a way that does not disclose the personal information of any one particular individual. Further, members of our IAM Barter Exchange Programs may provide offer and product listings to you based on preferences you express to us.

Contractors and Third Party Service Providers. IAMValley may use contractors and third party service providers to help with its operations. Some or all of these contractors and service providers may access the databases of user information. Usually these contractors and service providers will enter into an agreement that places restrictive provisions on their use and disclosure of all information they obtain through the relationship.

Who has access to your information?
As described above, we use collected information to enhance this site and the features that are provided. We may prepare aggregated reports for our advertisers and sponsors regarding use of our site. However, we will not disclose any personally identifiable information regarding you or your usage patterns. While we strive to protect your personal information, you should also be aware of the following potential ways in which your personal information can be disclosed:

Voluntarily disclosed information. If you voluntarily disclose information about yourself, that information may be collected and used by others. For example, in using chat rooms or bulletin boards (as in IAM Community and IAM Healing) you may disclose or post personal information about yourself. Information disclosed on linked sites. Our site contains links to other web sites, which may independently collect personal information in connection with the services they provide. Security
This site has established security measures to protect the loss, misuse and alteration of the information under our control. Through the use of various protection mechanisms, including firewalls and passwords, our database is inaccessible to outside users.

Children
This site contains articles and other content that may be of interest to children. We do not restrict the use of some features of our site to users over the age of 18. However, you must be 18 years of age to participate in many of IAMValleys Programs or to post Content on its site (see Publishing Policy). Because we do not screen all users of our site, we may collect information from users under the age of 18 without prior parental consent or parental notification. Thus, we ask children to obtain the consent of their parent or guardian before providing us with personally identifiable information.

IAMValley provides many programs and forums where its members may publish material. All of the programs on IAMValley.com are self-publishing models which relies on the integrity of its members, giving the site a more "organic" feel. IAMValley has established this Publishing Policy to protect the rights of all of our users and members.

Acceptance of Terms. Please read this Publishing Policy (the "Policy") carefully before you ("you" or "Author") enroll as a member of IAMValley.com, Inc.s ("IAMValley" or "we") IAM Author, IAM Media Channel, IAM Travel Exchange, IAM Education, and IAM Healing Programs ("Programs"). By enrolling as a member of any of these Programs, you agree that you have read, understood and agree to comply with the terms and conditions of IAMValley.com, Inc.s Publishing Policy and Terms of Service Agreement.

Eligibility. You must be the sole author of all articles submitted for publication, and you must agree to the terms of this Policy. If you are not a U.S. resident, you may participate in the Programs to the extent that your participation does not conflict with applicable law.

Definition of Content. IAMValley allows you to provide your content (including text, data, photos, graphics, music, sounds and videos) to IAMValley in a number of forms such as feature articles, product reviews and digital films. Collectively, these are defined as your "Content."

Content Ownership. You retain all ownership rights to your Content. Previously published Content may be submitted for publication through the Program as long as you own the rights to publish the Content on this site. Although IAMValley does not edit or pre-approve Content submitted by you for publication, you agree to adhere to the terms of this Policy.

You guarantee that you are the sole owner to all Content submitted to IAMValley. You also guarantee that neither the Content nor the rights granted to IAMValley will: (a) violate any copyright or other intellectual property rights of any third party, (b) violate any contract or agreement to which you are bound, or (c) violate any applicable law.

IAMValley respects the copyright and intellectual property rights of others and we ask our members to respect those rights as well. IAMValley, at its sole discretion, may remove content which appears to infringe any intellectual property rights (including but not limited to copyrights) of others and/or terminate membership for those who appear to infringe on the rights of others.

Content Filtering and Edits. IAMValley will try to carefully reproduce the content, layout and pagination specified in the Content submitted by you. However, IAMValley reserves the right to: (a) place advertising on Content, (b) include notices along with its logo stating that the Content was published and distributed by IAMValley. Although IAMValley does not pre-screen or edit submitted Content, we may choose to use automated software filters that may prevent you from uploading your Content or may affect its display. The additions of such notices and logos will not cause confusion as to the proper authorship, ownership and origin of Content.

IAMValley may also take any actions that it deems necessary or appropriate to minimize its liability from your Content or to preserve IAMValleys relationships with its service providers (such as Internet access providers) and its co-brand partners. Further, all terms of this Policy shall apply to your Content after any merger, acquisition or sale of the majority of IAMValleys assets.

Limitations on Content Submissions. You agree not to provide any Content to IAMValley that (a) infringes any third-party intellectual property or publicity/privacy rights, (b) violates any applicable law or regulation, (c) is defamatory, obscene, pornographic or harmful, (d) contains any viruses, Trojan horses, worms, time bombs, cancelbots or any other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information, (e) is part of any third party referral program, (f) essentially void of meaningful content, (g) is detrimental in anyway to IAMValley.com web site or business, (h) promotes, encourages or provides information on religious or spiritual intolerance or information of any thoughts, beliefs, or practices that IAM Valley may deem harmful or hateful, or (i) is otherwise criminal.

Rating System. All Content submitted for publication through the Programs may automatically participate in IAMValleys Content rating system. IAMValley, at its sole discretion, may at any time change or eliminate the rating system. Members can at any time change or delete their articles and subsequent ratings or postings made by other members in the article at any time.

IAM Barter Exchange. In exchange for articles and content, IAMValley will place a link of our members home or business site in a directory so that readers, if they choose to, can pursue the authors services further. If members dont have such links, then IAMValley does not provide any other compensation (expressed or implied) to the providers of Content.

Authors also grant IAMValley the right to place banner and magazine ads in the display of the content. Furthermore IAMValley may place, within your Content, contextual links to products, services and online advertisement to members enrolled in our IAM Merchants Program.

Disclosure of Your Personal Information. You agree to allow IAMValley the right to disclose your personal information: to IAMValleys agents (such as attorneys or consultants); and where necessary to comply with a court order or at the request of a government agency.

Termination and Modification of Programs. IAMValley reserves the right to terminate any and all of the programs at any time upon thirty (30) days notice to you. You will be notified via e-mail to the address provided by you during the registration process. It is your responsibility to keep current all of your personal information submitted to IAMValley. While IAMValley will make a reasonable effort to notify you, it is your obligation to periodically review the online version of this Policy to determine if it has been modified. We will assume you accept any Program modifications by your continued participation in the affected Program(s). All modifications and/or termination to the Program(s) will be effective and deemed enforceable when the modified version of the Policy is published on the IAMValley.com web site. Terminating Enrollment in the Program(s). If you wish to terminate your enrollment in any of Program, you need to notify IAMValley in writing. You may remove all content from our site (via e-mail at editor@IAMValley.com).

IAMValley may decide, in its sole discretion, to terminate your enrollment in any or all of the Programs if you have violated any of the terms of the applicable Policies. Subsequently, IAMValley may also terminate your enrollment in IAM Barter Exchange. If we terminate your account, you may not re-enroll unless invited to do so by IAMValley.

Your relationship to IAMValley. You are not (in any expressed or implied manner) an agent, employee, partner or joint venturer with IAMValley by enrolling in any of the Programs. Neither you nor IAMValley has the authority to bind, commit or otherwise obligate the other in any manner.

Nontransferability. You may not transfer the terms of this or any other applicable Policy nor any of the rights provided by it without the written consent of IAMValley.

No Warranties. YOU USE THIS SITE AT YOUR OWN RISK. IAMVALLEY PROVIDES ITS SERVICES ON THE SITE ON AN "AS IS" AND "AS AVAILABLE" BASIS. IAMVALLEY MAKES NO GUARANTEE (EXPRESSED OR IMPLIED) AS TO THE SITES OPERATION, CONTENT, OR ANY INFORMATION, SERVICES OR MERCHANDISE MADE AVAILABLE ON THE SITE. WE MAKE NO WARRANTIES (EXPRESSED OR IMPLIED) OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO ALL OF THE FOREGOING. WE DO NOT WARRANT ANY RESULTS FROM THE SERVICES OR INFORMATIONAL MATERIAL OFFERED ON THE SITE, NOR DO WE GUARANTEE THE ACCURACY OF ANY INFORMATION ON THE SITE. IAMVALLEY DOES NOT WARRANT THAT USE OF THIS SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT MESSAGES OR REQUESTS WILL BE DELIVERED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BY USING THIS SITE, YOU AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED FROM THIS SITE IS DONE AT YOUR OWN RISK AND THAT YOU WILL BE SOLELEY RESPONSIBLE FOR ANY DAMAGE THAT SUCH ACTION RESULTS IN.

Limitation of Liability. IN NO EVENT WILL IAMVALLEY, ITS AFFILIATES, LICENSORS OR OTHER THIRD PARITES MENTIONED ON THIS SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF THIS SITE.

Indemnification. You agree to indemnify, defend and hold harmless IAMValley and its affiliates, agents, directors, officers, employees and licensors from any claim or demand made by any third party due to or arising out of your Content or your violation of any term of this Policy, the Terms of Service Agreement or any applicable law.

Governing Law. This Policy and disputes arising out of or relating to this Policy or the Program(s) shall be governed by and construed in accordance with the laws of the State of New Jersey.

General. This Policy (together with the Privacy Policy, the Terms of Service Agreement) constitute the entire agreement between you and IAMValley concerning the Program(s).
